What is IRIS?

IRIS is transit service when you need it. It’s an innovative program designed to provide on-demand transit where people may share a ride with as many as four other people. Like Uber or Lyft service, customers can request a trip through a convenient app and can begin and end a trip anywhere within the zone or connect with regular RideKC bus service to continue their trip.  It’s not a door-to-door service. IRIS operates in a network of designated stops within the pilot service area. Stops could include existing RideKC stops or other locations set up for IRIS. An IRIS vehicle will pick up customers at their pickup point and take them to a location in the zone or in another IRIS zone.

The vehicles are operated by zTrip, a local taxi operator; however, they will be branded with IRIS and RideKC.

Fares will be determined on where the trip begins and ends.

Ztrip®, the largest taxi fleet operator in the u.s., with operations in 26 cities, more than 2,700 vehicles and over 3,170 contracted drivers on its platform, to become publicly traded via business combination with spree acquisition corp..

Kansas City, Missouri and Atlanta, Georgia, Oct. 31, 2022 (GLOBE NEWSWIRE) -- WHC Worldwide, LLC, doing business as zTrip®, a technology-based, North American-wide transportation company (“ zTrip ” or the “ Company ”), and Spree Acquisition Corp. 1 Limited (NYSE: SHAP, “ Spree ”), a special purpose acquisition company, today announced they have entered into a business combination agreement that would result in zTrip becoming publicly listed on the NYSE. Upon closing of the transaction, the combined company will be named WHC Worldwide, Inc. (continuing to do business as zTrip) and is expected to be listed on the NYSE under the ticker “ZTRP.” The combined company will be led by zTrip’s founder and CEO, Mr. Bill George.

zTrip was formed in January 2018 to develop a platform capable of operating local mobility service providers more effectively and efficiently. Since that time, its focus has been on building a national network of taxi operators and transportation service providers. Combining its experience of acquiring and operating traditional taxi fleets having completed 28 acquisitions of local operators to date, on a path towards establishing national scale with its proprietary technology-based shared infrastructure, zTrip aims to consolidate the local mobility service market and drive greater technology adoption and other operating efficiencies. zTrip is the largest taxi fleet operator in the U.S. (based on information provided by The Transportation Alliance), operating in 26 cities with more than 2,700 vehicles and over 3,170 contracted drivers on its platform. zTrip provides mobility services to approximately 1,080 corporate clients, providing a significant continuing revenue base, including in the following sub-sectors: student transportation; jobs training transfers; employment shuttles; airport transportation; conventions shuttles; large hospital networks; microtransit; local transportation authorities; and national Non-Emergency Medical Transportation (NEMT) brokers.

zTrip’s operational model is intended to be sustainable on a long-term basis, and to combine the favorable features of both traditional taxicabs and ride-hailing digital apps. The model aims to combine the safety, financial discipline and fare regulation of taxicabs, and the newer vehicles, mobile convenience, and frictionless payment model of Transportation Network Companies (TNC) players (like Uber and Lyft). In addition, zTrip believes it is differentiated by its operations in overlooked urban segments or cities not well served by its rivals.

Through its combination of the proven taxi service model with purpose-built technology, zTrip believes it has created a new hybrid brand of on-demand transportation. As reflected in its results to date, zTrip’s business model has enabled the achievement of both solid financial results and growth while maintaining EBITDA profitability, which is based to a considerable extent on zTrip’s continuing revenue base and consistent operational efficiencies. The Company believes that this financially-sound and tech-driven model is well-positioned to continue to disrupt and consolidate the U.S. transportation industry.

Unlike the app-centric model used by TNC players, zTrip drivers are encouraged to develop personal relationships with their clients and take their bookings directly.  A key element of zTrip’s platform is zMetricz, which is an analytics tool providing insights on the data collected from the use of its services. zMetricz allows zTrip to deliver enhanced driver and rider safety and the efficient operation of services, while simultaneously helping zTrip drivers to optimize their own incomes while working on zTrip’s platforms. zTrip believes that its model is also favorable for independent contractor (IC) drivers, which has resulted in reduced driver turnover and high driver retention figures.

zTrip’s revenue sources include: (i) fees charged to drivers for operating on zTrip’s platform; (ii) fees charged to corporate clients for administering transportation services; (iii) fees charged to customers for services provided by zTrip’s employed drivers; and (iv) fees charged by zTrip to its SuperShuttle affiliates (which provide on-demand airport rides and additional ride services)

Highlights of the Proposed Transaction

zTrip’s assumed equity value prior to the business combination is $251 million

Spree is required to provide gross proceeds (after transaction expenses) of at least $50 million to zTrip

The combined company that will result from the transaction will be organized in an “Up-C” tax structure; WHC Worldwide, Inc., a Delaware corporation to be formed based on the transfer and domestication of Spree, will be a publicly listed holding company, which will hold equity interests in WHC Worldwide, LLC (dba zTrip) and its subsidiaries, which, in turn, will hold and operate substantially all of the assets and business of zTrip

The closing of the transaction is expected to occur during the first half of 2023

Key Transaction Terms

The business combination agreement provides that zTrip’s assumed equity value prior to the business combination is $251 million, subject to certain adjustments prior to closing. Subject to the approval by Spree’s shareholders of the business combination and after giving effect to any redemptions of Class A ordinary shares by Spree’s public shareholders, Spree will migrate from the Cayman Islands to Delaware and domesticate as a Delaware corporation, with its name to be changed to “WHC Worldwide, Inc.” At the effective time of the domestication, each outstanding Class A ordinary share and Class B ordinary share, and each warrant, of Spree will convert on a one-for-one basis into shares of Class A common stock, and warrants, respectively, of WHC Worldwide, Inc. At the closing, WHC Worldwide, Inc. will contribute to WHC Worldwide, LLC (x) the amount of remaining cash from Spree’s IPO in Spree’s trust account after giving effect to the exercise of redemption rights by any Spree shareholders, plus (y) the aggregate cash proceeds to be received from a PIPE investment in the combined company. In exchange for that contribution, WHC Worldwide, LLC will issue to WHC Worldwide, Inc. a certain number of WHC Worldwide, LLC Class A common units (as determined pursuant to the business combination agreement) and WHC Worldwide, Inc. will issue to WHC Worldwide, LLC, and WHC Worldwide, LLC will in turn distribute to its preexisting members, a number of shares of Class X common stock of WHC Worldwide, Inc. (which will not have any economic value but will entitle the holders thereof to one vote per share), equal to the number of WHC Worldwide, LLC units held by each such member. Following the transaction, those shares of WHC Worldwide, Inc. Class X common stock, together with the WHC Worldwide, LLC units (which will be reclassified as WHC Worldwide, LLC Class B common units in the transaction), to be held by WHC Worldwide, LLC’s preexisting members, may be forfeited and redeemed (as applicable) for shares of WHC Worldwide, Inc. Class A common stock or, at WHC Worldwide, LLC’s option, cash.

The business combination, which has been unanimously approved by the board of directors of Spree and the managers and members of WHC, is expected to close in the first half of 2023. Closing is subject to the satisfaction of specific conditions, including Spree having on its balance sheet at the closing cash in a minimal amount of at least $50 million. Closing is also subject to certain additional, customary closing conditions, such as the approval of the transaction by Spree’s shareholders and the NYSE’s approval of the initial listing application for the WHC Worldwide, Inc. Class A common stock to be issued to Spree’s existing shareholders in connection with the business combination.

Management Commentary

“We founded zTrip in 2018 because we saw a true opportunity to combine our extensive experience in the taxi and mobility industry with advanced technology and a fully integrated platform,” said Bill George, CEO and Founder of zTrip.  “We honed our acquisition and integration strategy to ensure we experienced profitable growth.  Our combination with Spree Acquisition Corp, and access to public markets, will allow us to aggressively and profitably expand our proven acquisition model both domestically and internationally.”

Steve Greenfield, Chairman of the Board of Spree, added, “We are very excited to announce the merger with zTrip. zTrip is the largest taxi operator in North America, led by Mr. Bill George, who has over 35 years of experience in the taxi industry. zTrip’s unique offering and management skills, together with its EBITDA profitability, put it in a great position in this fragmented industry. By using the public market, zTrip can achieve significant growth in the coming years.”

Non-GAAP Financial Measure

zTrip’s financial results included in this press release present EBITDA, a non-GAAP financial measure. zTrip believes that this non-GAAP measure provides useful information to its management and investors regarding its financial and business trends, by presenting corporate profitability, net of expenses that are dependent on financing decisions, tax strategy, and depreciation schedules. zTrip’s management uses this non-GAAP measure to compare zTrip’s performance between periods for trend analyses and for budgeting and planning purposes. This measure is used in financial reports prepared for zTrip’s management. zTrip believes that the use of this non-GAAP financial measure provides an additional tool for investors in evaluating ongoing operating results and trends, and in comparing zTrip’s financial measures with other transportation companies, many of which present that non-GAAP financial measure to investors.

zTrip defines EBITDA as net income, adjusted to exclude (i) interest expense, (ii) provision for (benefit from) income taxes and (iii) depreciation and amortization.

zTrip’s management does not consider this non-GAAP measure in isolation, or as an alternative to net income, which is determined in accordance with GAAP. The principal limitation of this non-GAAP financial measure is that it excludes significant expenses that are required by GAAP to be recorded in zTrip’s financial statements.

Because the equivalent GAAP measure (net income) to this non-GAAP measure of zTrip for the subject historical periods is still undergoing a PCAOB-compliant audit, which may result in changes to that GAAP measure (as described under “Private Company Audited Financial Results” below), zTrip has not included it in this press release. To compensate for these limitations, zTrip urges investors to review the reconciliation of its EBITDA to net income once that reconciliation becomes available (following completion of the PCAOB-compliant audit), and not to rely on any single financial measure to evaluate its business.

Private Company Audited Financial Results

The historical financial results of zTrip included in this press release have been derived from financial statements audited in accordance with accounting rules that are applicable to private companies, and not those principles required for public company audits as adopted by the Public Company Accounting Oversight Board (PCAOB). There may be changes to certain of those historical results following the completion of a PCAOB-compliant audit by zTrip’s independent registered public accountant. Spree and zTrip will include the PCAOB-compliant audited financial statements of zTrip in Spree’s Registration Statement to be filed (as described under “Important Information About the Proposed Transaction and Where to Find It” below).

I made a quick trip to MCI to visit a friend. The best I could do on a car rental was 247 USD for less than 48 Hours. Mike who I was visiting picked me up, but I needed a ride back to the airport at 0330 on Wednesday morning. Went online and found Greg the TAXI GUY. WOW contacted him told him what I needed got a price quote paid same. Today at 0325 Gregg pulled up to the home I visited and off we went to MCI airport. Got there early plus the cab was clean and Gregg is a great guy plus a fair price Do not hesitate to call Gregg. I will in the future when in the MCI area

Photo of Maria M.

Very rude to people with disabilities, and was trying to make us pay in cash when we already paid with credit card and credit card company said it was paid for. The guy started yelling at us saying we need to pay in cash and we had to just walk away very unpleasant NEVER USING IT AGAIN.

Why are you putting this on my personal page? I wasn't the driver involved in this situation.

Great trustworthy guy. Can't go wrong with Gregg. I've also done business with him in the past and have always had great service.

Ordered a taxi for a 6:15 pickup for my son to get to work because we were out of town, no one ever showed up very disappointing my son was late for work and I never even got a call !

Dec 19, 2020

I think you meant this to be on the main zTrip page rather than on my personal page since you and I did not speak. You went through the main dispatch line so the review doesn't apply to me.

Photo of Rusty T.

Gregg is outstanding and customer focused. I contacted him for a last minute trip to the airport for my daughter. He arrived early and got her to MCI quickly and safely. He even went back to the airport after dropping her off as my daughter forgot her keys (with her ID attached). Thanks Gregg, really appreciate you and your outstanding service!

Photo of Ryan L.

Scheduled pickup the night before for 6:45am. Opened my front door at 6:45 am and saw the taxi slowly driving away from my house. Called dispatch and they said the taxi driver couldn't find my house?!?!?! The driver did not even wait 1 min, nor did they call or text me?!?!?! WTF!

Jul 18, 2019

Ryan, I'm sorry you had this experience but I'm going to ask that you remove this review as this is my personal driver page and I believe you intended to target the zTrip page itself. When you called my toll free number, me and the drivers I work with were not able to answer the call so you were automatically sent to the main zTrip line. I do not know which driver dropped the ball on your trip but it wasn't me or any of the 6 drivers I work with.

Z trip

Z Trip , once the taxi-industry’s answer to Uber and Lyft, now requires drivers to lease a car from them to drive

Expected pay: speculative

Husl$core: $

Commissions & fees: $80 + per day

Where: Austin; Baltimore, Boulder, Colorado Springs, Denver, Houston, Jacksonville, Kansas City, Minneapolis, Northern Colorado, Orlando, Phoenix, Pittsburg, San Antonio, Tampa, West Palm Beach.

Requirements: Over the age of 23; a U.S. citizen; never convicted of a felony; be willing to be finger-printed and thoroughly background-checked

Z Trip Review:

When we first reviewed Z Trip, it was the taxi industry’s answer to Uber and Lyft. it simply offered an app that allowed you to book a taxi like you would a ride share driver.

But when we went back to update our review in January of 2023, the company was a different animal. Now, it essentially requires that you lease a vehicle from the company to drive with Z Trip. The site says it takes care of your maintenance, and gives you the benefit of saving your own car from the heavy wear-and-tear of rideshare driving.

While rideshare driving is tough on your car, this company’s leases are expensive. And drivers still pay for their own gas.

This now appears to be one of the least attractive options in an industry that’s not known for great choices.

How it works

Officially, you work for yourself through this app. While rides are arranged through Z trip, riders can pay in cash you want. You don’t pay the app for processing payments or doing your marketing. If the rider pays via credit card, Z Trip will process the payment and pay you within a few days of completing the trip.

But you’re likely to pay so much to lease a Z Trip vehicle that it can be tough to make a living. Uber and Lyft have also occasionally arranged leases for their drivers. These are almost always terrible deals.

If you have your own car, which gets great mileage, you may be able to make a decent living with ride share — if you’re strategic about when and where you drive. When you don’t own your own car, ride share is a terrible way to make a living. The costs are high; the competition is stiff; and the hours are long.

Recommendations

Notaly, Z Trip is one of the few apps that’s panned by drivers and customers alike. Reviews at both app stores, as well as Indeed and other job-rating sites say this is an “opportunity” you should pass up.

Better-rated driving apps include Lyft , Wingz and DoorDash .

If you have a truck and are willing to drive it around to help people move, check out  GoShare , which offers high hourly pay.

What their drivers say: (From Indeed )

Daily rentals are normally around $115 a day which means you’ll have to make $115 to pay your vehicle lease before you see any money. Then, you still have to pay for your own fuel. Couple that with the fact that no taxes are withheld and you’ll have to pay taxes out of pocket and you’re looking at a total loss.

You pay high dollar for car it’s always broke. We always have to pay in advance for your rental leases, yet you get paid in two or three days out for your work. Seems you’re always in the hole.

Better options

Unless you can’t read or write , there are a million better companies that know what their doing. Street Bums make more than I was able.

You just have to drive 12+ hours everyday, and lease is very expensive. But if you are willing to drive that many hours 7 days a week this is the perfect job for you.

You are paying more to the lease of $80 a day for the vehicle plus you have to pay your own gas! So in reality you’re putting more of your money towards the car than you will ever take home. They promise a lot but you never can count on it. Super unreliable place to work! Please avoid this place like the plague…

Z trip in mobile needs to bring taxi cab driver Beth back!!!! Not only can she drive but she goes out her way to help….

You pay $95 a day for the lease, which seems like a lot, but it’s really not considering how much you make per day. The daily lease is what pushes a lot of people away, but if you put in the hours and work you can easily pull in $300 a day. $300 – $95 is still $205 per day. If you can work even 5 days a week that’s making a little over 1g a week, 4g a month. Work 7 days a week and you’re making almost 6g. If you own a car and use it as your cab, the daily lease gets knocked down to $50 a day. The potential to make really good money is 100% up to you. You can work up to 16hrs a day or 80hrs a week. Not to mention, ever person you refer to the job, you make $5 every day they work. Just another way to lower your lease and make even more money. You create an LLC when you join, so network your business. Advertise your business and get people to work under you. The freedom you get by making your own hours and dictating your pay is amazing. I highly recommend zTrip for anyone who loves driving and making money.

is it worth ? avg 200.– a day?

Yes. $200 a day is good money. Unless you are a lawyer, doctor, or other professionals that make $100 per hour.

If you see this, it is now Feb 2021 and I am curious…are you still driving for Ztrip and with the same financail success as you mention in this review? Would you still give the same positive review? Thanks for your time.

In Colorado time restriction to 12 hour days. Lucky to get 240 a day minus the 90 a day plus if u work 10 plus hours.a day that’s about 50 bucks minus as well at 3.50 a gallon

Bennett Sproul Avatar

I worked for ztrip last year and i slaved 14 to 18 hour days and the rides are so inconsistent and the fact that your still in a beat up taxi cab And you still have to pay $500 a week regardless if you made $500 a week the 1st week you work there you make and they credit you and you only pay 365 but you only have 3 days to make that amount this is not a job many people could do and especially if you have small children as life will get in the way so much that you don’t end up making any money at all

I have an interview with ztrip and there is two things I want to know first let me say someone I know worked for ztrip and told me that passengers would run out without paying is this true and if that happens what do a ztrip driver suppose to do? second do we have to pay up front a few to use they vehicle? Need to know before I waste my time

Jeff Avatar

They work you to death for far less than minimum wage. Beware.

Tom Mathies Avatar

I’m just a customer that tried to make an early morning reservation to go for hospital surgery via the app (wait time to talk to rep was hours haha). Was Told my request for a reservation was received. But it was not a real reservation ha ha and they would let me know. So at that point I knew this was not a “taxi” of days gone by. Have hour before my 4:30 AM pickup time received text to “hold on” and that we were looking for driver ha ha. You guessed it, no driver showed and I drove myself to hospital. The out was formally Yellow Cab but I guess Ztrip was a needed upgrade.

Joshua Grosel Avatar

Unfortunately it’s still like hailing a taxi. You still have to wait for a driver to accept your trip.

GMoney Avatar

I work for a local Colorado Springs Hotel near the airport. I have guests constantly book reservations to rides to the airport and no one shows up. I call and the automated system tells me they are looking for a driver. They have stranded many, many customers. Worst Cab Service Ever!

Troy Turner Avatar

I have an interview with Z-Trip and am curious about the whole thing and I want the truth. I have time and want to make money. I am new to this driving business anyway. Now I do know back when “Yellow Cab” was around, you paid a lease and you needed a Shofars or CDL license. How much is the leasing and how is it paid? Who pays for gas? I am feeling like I am in a pond without a lifeguard.

Patrick Billette Avatar

Dear Z trip, I AM SO SICK AND TIRED OF THIS!!!! Every time we make a subscription and give a time for the cab to pick me up, they do not listen. They are never on time, always late, and never give reasons on why. Today, I was really late to,work because the DAM CAB DID NOT SHOW UP UNTIL 10:10 AM! WHAT THE HELL IS GOING ON HERE??????????????????? This is ridiculous. Every week my mom has a subscription to come at 845 AM every week. We thought that would work and they continued being late. When yellow cab used to do it, they were usually on time and sometimes early. I think Z trip should do the same. If you are going to put a subscription for a time every week, they need to remember to come at this time every week. TREAT THIS LIKE UBER!!!!!!! It is that simple, all you do is download an app, call a ride, it tells you exactly how far the driver is and it tells you their name as well. It also tells you how good the driver is, what comments people said, so you know ahead of time if you like the driver or not. This should not happen anymore. That was 1 hour and 25 minutes late. I called a few times asking where the cab is and every time I call, the answer is always the same. We are still looking for nearby drivers and we do not have an available driver at the moment. My mom called and put the subscription for 8:30 AM and I hope it works. My program director at Summerhouse Angie also called and talked to them about it being late all the time and they are working to see if they can find a driver and work it out in a way that it is the same driver every week that is always on time consistently. This is the reason I have been late to work almost every week. If this is the same every week, the driver should put it on their calendar so they remember. I hope the service improves from now on. I am not pleased at all. I hope lessons are learned from this. We need better drivers that are as good as Uber, polite, and they are always on time. I hope it improves and gets better fast. Patrick

Davin Avatar

Drivers are independent contractors. They choose when they work and which dispatched runs they want to pick up. They are not hourly employees so they have the option to make those decisions. If you find a driver you like it’s best to discuss with them the possibility of making arrangements directly with them rather than going through zTrip dispatch. Many drivers don’t care about their reputation and provide terrible customer service. Other drivers, including myself, take pride in providing excellent customer service. My name is my brand and it is flattering when customers request me specifically because they enjoyed allowing me to drive for them.

SKDA Avatar

I would say this if you have to be at work at 8am i advise you to call at 6:30am be before time not close to time it takes a while for any Ztrip driver to pick it up and it may not be a lot available at that time so be before time so you won’t be late, alot of time it’s not on the driver

jan Avatar

NEVER EVER use this service! Monday, June 6 ….The driver ended up charging me $68 for a quoted and verified 3 times price of $32-$35 with their phone reservation lady to get to the Pittsburgh airport. Needing to catch a flight, I couldn’t argue. What is even worse was I asked the driver to confirm the $32-$35 price BEFORE I got in the car & he said “It could even be less”. Yet in conversation during the ride, he’d already taken others to the PIT airport so he really did KNOW! With this more than double charge, I certainly wasn’t going to trust his offer to pay by credit card so I paid cash and got NO receipt.

I have tried to call their customer service number 412-323-4722, left three voice mails over the past few days … and of course, no one returned my call nor email. Sadly I guess I shouldn’t have been surprised.

I’m sorry to hear that driver took advantage of you. In Louisville, the city regulates taxi services. As a taxi driver I have to obtain a permit from the city. If something like that happened here and got reported to the city, the driver could face repercussions. Just something to consider.

THANKS TO ALL WHO POSTED INFO ON PRICING AND BREAKING DOWN LEASE DETAILS- THE ZTRIP WEBSITE PROVIDES NO INFO ON LEASING, HOW/WHEN IT’S EXPECTED TO BE PAID,HOW MANY HOURS YOU NEED TO WORK PER DAY/PER WEEK TO COVER YOUR LEASE- THIS MAKES ME WEARY THAT THEY ARE NOT UPFRONT NOR PROVIDE ANY DETAILS ABOUT COSTS PAID OUT OR MONEY TAKIN IN PER WEEK.

IF I UNDERSTOOD CORRECTLY-

TO BECOMEA DRIVER AND LEASE ONE THEIR CARS IT COSTS 95/DAY?

HOWEVER, YOU DO NOT NEED TO PAY THIS FEE UPFRONT,OR ON DAY ONE, ALSO, IT IS WEEKLY LEASE, NOT PER DAY, TOTAL WEEKLY LEASE COSTS=665? [95X7=665] IF IT IS NOT PAID UPFRONT, DOES THAT MEAN IT IS DUE ON DAY 7?

HOW MUCH IS AVERAGE ZTRIP PAY OUT PER CUSTOMER? 20/EACH TRIP YOU MAKE CORRECT?

THANKS FOR YOUR HELP EVERYONE
